These Terms of Service (“Terms”) govern your use of the smart eye drop device and its accompanying software, mobile application, and related services (collectively, the “Service”) provided by Sub22 Technologies Inc. (“we,” “us,” or “Company”). By setting up, installing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

“Device” means the hardware unit that dispenses eye drops and connects via Bluetooth or other wireless technology to the Application.

“Application” means our mobile or desktop software through which you interact with the Device.

“User Data” means any information you provide or that is collected automatically by the Service, including dosage records, usage logs, and health-related inputs.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract.

You represent that you have the legal authority to accept these Terms on behalf of yourself or, if applicable, a minor or another person under your care.

3. License Grant and Device Use

We grant you a limited, non-exclusive, non-transferable license to use the Application and Device for personal, non-commercial purposes in accordance with these Terms.

You agree to:

  • Use the Device only as instructed in the user manual.

  • Keep your Device firmware and Application updated.

  • Maintain Bluetooth or network connectivity as required for full functionality.

4. User Responsibilities

You acknowledge and agree that you are responsible for:

  • Following the dosage schedule prescribed by your healthcare provider.

  • Storing and handling the Device according to safety guidelines.

  • Securing your mobile device and login credentials.

  • Not sharing your account credentials or allowing unauthorized access.

5. Medical Disclaimer

The Service is intended to aid in the management of eye drop therapy and is not a substitute for professional medical advice.

Always consult your healthcare provider for diagnosis, treatment, or concerns about your eye health.

We do not guarantee therapeutic outcomes.

6. Data Collection and Privacy

Your use of the Service involves collection of User Data. We handle your data in accordance with our Privacy Policy, available at www.sub22tech.com/privacy-policy.

By agreeing to these Terms, you consent to:

  • Collection, storage, and processing of your User Data.

  • Transmission of usage analytics to improve the Service.

  • Anonymized reporting for research or product development.

7. Intellectual Property

All rights, title, and interest in and to the Service, including software, design, trademarks, and documentation, are owned by the Company or its licensors.

You agree not to reverse engineer, decompile, or create derivative works based on the Service.

8. Consumer Consent to Receive Text Messages

By providing your mobile phone number and agreeing to these Terms of Service, you expressly consent to receive text messages from Sub22 Technologies Inc. at the number you provided. These messages may include:

  • Two-factor authentication services

  • Account-related notifications

Messages may be sent via a toll-free number and may be delivered using automated technology. Message frequency will vary depending on your care plan and preferences.

Consent is not a condition of receiving care. You may opt out of text messaging at any time by replying “STOP” to any message or by contacting our support team at info@sub22tech.com.

9. Third-Party Services

The Application may integrate with third-party services (e.g., cloud hosting, analytics). Your use of such services is subject to their terms. We are not liable for third-party practices or performance.

To the maximum extent permitted by law, the Company and its affiliates will not be liable for:

  • Any indirect, incidental, special, or consequential damages.

  • Loss of data, revenue, or profits.

  • Device malfunction or software errors.

Our aggregate liability under these Terms will not exceed the amount you paid for the Device.

11. Indemnification

You agree to indemnify and hold the Company, its officers, directors, and employees harmless from any claims, liabilities, losses, or expenses arising out of:

  • Your misuse of the Service.

  • Violation of these Terms.

  • Claim that your use infringes a third party’s rights.

12. Termination

We may suspend or terminate your access to the Service at any time for conduct that we reasonably believe violates these Terms.

Upon termination, your license to use the Service immediately ends, but Sections 5, 7, 9, 10, 12, and 13 will survive.

We may modify these Terms at any time. We will notify you of material changes via the Application or email.

Your continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law principles.

Any dispute arising under these Terms will be resolved in the federal or state courts located in Dave County, Wisconsin.
